These Terms of Service ("Terms") govern your access to and use of OrderVaani (operated by OrderVaani Inc. / OrderVaani POS), including our website at ordervaani.com, the cloud point-of-sale software at app.ordervaani.com, kitchen display systems (KDS), waiter mobile applications, tablet interfaces, print services, and associated APIs.
By registering, accessing, subscribing to, or using the OrderVaani platform, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a restaurant, cafe, franchise, or food court entity, you represent that you possess the legal authority to bind that entity.
1 Description of Service
OrderVaani provides cloud and hybrid-offline Point-of-Sale (POS) management software tailored for restaurants, fast-food outlets, bars, and food courts. Key capabilities include:
- Multi-terminal cashier billing and GST invoice calculation.
- Touchscreen Kitchen Display Systems (KDS) with station-based ticket splitting.
- Automated multi-lingual audio and voice callouts for kitchen-ready orders.
- Mobile captain/waiter table order taking with live synchronization.
- Contactless QR code digital table ordering and digital e-bills.
- Inventory tracking, ingredient batching, and management reporting dashboards.
- Direct integration with network/USB thermal receipt and KOT printers via print agents.
2 Account Registration & Security
To use OrderVaani, you must create a verified tenant account. You agree to:
- Provide authentic, current, and complete business information during registration.
- Maintain the confidentiality of administrative credentials, staff PINs, and API tokens.
- Take full responsibility for all activities, billing actions, and order modifications executed under your account.
- Promptly notify OrderVaani via WhatsApp or email if you detect unauthorized access or security breaches.
3 Subscription, Billing & Payment Terms
OrderVaani is provided on a Software-as-a-Service (SaaS) subscription basis:
Pricing & Plans
Subscription fees are billed on monthly or annual cycles according to the tier selected. All prices are listed in Indian Rupees (INR) and are subject to applicable GST taxes.
Automatic Renewal
Subscriptions renew automatically unless cancelled prior to the renewal date. Upgrades take effect immediately with prorated adjustments.
Cancellation & Refunds
You may cancel your subscription at any time. Prepaid subscription fees for active billing cycles are non-refundable except where required by law or explicit promotional terms.
Grace Period & Inactivity
If a recurring payment fails, a grace period of 7 days is provided before software access is paused. Your historical sales data is safely preserved.
4 Tenant Data Ownership & Privacy
As between you and OrderVaani, you retain exclusive ownership of all tenant business data, including item menus, sales history, customer transaction amounts, and staff performance metrics. OrderVaani does not claim ownership over your data and will never sell or monetize your customer lists.

5 Acceptable Use & Regulatory Compliance
You agree not to use the platform for any unlawful purpose. Specifically, you acknowledge and agree that:
- You are solely responsible for ensuring your restaurant operates in compliance with all relevant food safety (FSSAI), trade, liquor licensing, and local municipal ordinances.
- You are solely responsible for verifying tax configurations (CGST, SGST, Service Charges) applied to your invoices in accordance with applicable tax statutes.
- You will not attempt to reverse engineer, decompile, maliciously probe, or exploit the platform or bypass our licensing infrastructure.
- You will not upload malicious scripts or transmit spam or abusive messaging through our integrated WhatsApp or SMS communication relays.
6 Service Availability, Offline Mode & Hardware
OrderVaani is engineered with an offline-first architecture (local caching via browser IndexedDB and localized print agents) allowing your restaurant to continue punching bills and sending kitchen tickets even during temporary internet disruptions. However:
- We cannot guarantee uninterrupted network connectivity provided by third-party Internet Service Providers (ISPs), cellular operators, or local Wi-Fi routers.
- You are responsible for procuring and maintaining compatible hardware (smartphones, Android tablets, TVs, thermal receipt printers, and routers).
- We schedule maintenance updates with minimal downtime and strive for 99.9% cloud server uptime.
7 Limitation of Liability
To the maximum extent permitted by applicable Indian law, OrderVaani and its directors, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption arising out of or related to your use of or inability to use the software. In any circumstance, OrderVaani's cumulative liability shall be limited to the total subscription fees actually paid by you to OrderVaani during the three (3) months preceding the claim.
8 Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of India. Any legal dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall be subject to the exclusive jurisdiction of the competent courts located in Karnataka, India.
